Goertek establishes a new AR/VR company with a registered capital of 200 million yuan.

According to Qichacha, Qingdao Goertek Smart Technology Co., Ltd. was recently established, wholly owned by Goertek Inc., with a registered capital of RMB 200 million. The company's business scope includes the manufacturing of virtual reality equipment, wearable smart devices, and smart home consumer devices.

This year, Goertek has undertaken several business operations related to its AR/VR business, including the establishment of new companies and acquisitions.

Regarding the establishment of new companies, at the beginning of this year, Goertek also registered "Goertek Optoelectronics Technology (Qingdao) Co., Ltd." in Qingdao, with a registered capital of hundreds of millions of yuan. Its business scope directly focuses on the manufacturing of VR equipment, optical instruments, display devices and glasses. The company is regarded as a new carrier for Goertek to integrate AR/VR complete machines and optical resources.

In terms of acquisitions, in July, Goertek planned to acquire two precision structural component companies, Mia Precision and Changhong Industrial, under Hong Kong-based Lianfeng Group, for HK$10.4 billion (approximately RMB 9.5 billion). The aim was to address its shortcomings in ultra-precision machining of metals/non-metals and nano-level surface treatment, thereby strengthening its self-manufacturing capabilities for lightweight AR glasses structural components. The final agreement for the transaction was signed in September, but it was terminated on October 17 due to disagreements on key terms.

In August, Goertek's subsidiary, Goertek Optics, completed the acquisition of 100% equity in Sunny Optical's "Shanghai Aolai" through a share issuance. The transaction also introduced Ningbo Aolai as a strategic shareholder, holding 33.33% of Goertek Optics' shares. It is understood that Shanghai Aolai possesses wafer-level optical waveguide and micro-nano optical device technology, which can be directly used for thin and light high-definition displays in AI/AR glasses.

Furthermore, it's worth noting that in the same month, Goertek, through its Hong Kong subsidiary, provided a $100 million loan with equity returns to Haylo Labs in the UK, to acquire global Micro LED company Plessey and complete subsequent capacity expansion. The agreement stipulates that if Haylo or Plessey goes public or is acquired within five years, Goertek will receive an additional 25% capital gain on top of principal and interest. This transaction is seen as a key step for Goertek in securing next-generation AR glasses display solutions and binding leading overseas clients. (Compiled)
